In this document, the terms and conditions of REFRICENTRO are established for the access and use by the User of this website. Please read this Agreement carefully. By accessing, browsing, or using the Website, Users ("You," "yourself," "User," or "user") agree to comply with the terms and conditions set forth in this Agreement. If you do not agree to be bound by these terms and conditions, you may not access or use the Website. REFRICENTRO reserves the right to update this Agreement whenever it deems it appropriate. Therefore, we recommend that the User periodically review the modifications made to the Agreement.
This Website is exclusively directed to persons residing in the Dominican Republic. Users residing or domiciled in another country who wish to access and use the Website do so at their own risk and responsibility, ensuring that such access and/or use comply with the applicable legislation in their country.

2. User Requirements
The Website and related services are offered to Users who have the legal capacity to enter into legally binding contracts under applicable law. Minors are not authorized to use the Website. If you are a minor, please do not use this website.

3.License
Hereby, the User is granted a limited, non-exclusive, non-transferable, non-assignable, and revocable license to temporarily access and download a copy of the content offered on the Website, solely for the User's personal use or within their company, and never for commercial purposes.
All material displayed or offered on the Website, including, among other examples, graphic material, documents, texts, images, sound, video, audio, illustrations, software, and HTML code (collectively, the "Content"), is the exclusive property of REFRICENTRO or the companies that provide such material.

Unless expressly provided otherwise in this Agreement, and/or unless expressly permitted by laws repealing those currently in force, the User may not (i) use, copy, modify, display, delete, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, reverse engineer, or create derivative products from the Content. Nor may the User (ii) use the Content on other websites or in any media, such as in a network environment, without the prior written authorization of REFRICENTRO
All trademarks, service marks, and logos displayed on the Website are the exclusive property of REFRICENTRO and their respective owners.
The User may not use the Trademarks in any way without the prior written authorization of REFRICENTRO and the respective owners.

4. User Provided Information
By providing or entering information on the Website ("User Information"), the User grants REFRICENTRO a permanent, non-exclusive, irrevocable, royalty-free license and right, for the maximum time allowed by applicable law, but without imposing any obligation to use, copy, modify, display, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt or create derivative products, in whole or in part, from the User Information, in any manner or way. REFRICENTRO does not verify or control User Information. Consequently, REFRICENTRO does not assume any warranty regarding the reliability, accuracy, completeness, validity, or truthfulness of the information submitted by users.
REFRICENTRO reserves the right, at its sole discretion, to delete, remove, refuse to reflect, or block all User Information that REFRICENTRO considers unacceptable. In the event that REFRICENTRO receives any notification regarding the unacceptability of certain information provided by users, REFRICENTRO may, at its sole discretion, investigate such information.
The User assumes and agrees that REFRICENTRO may keep a copy of the User Information, and disclose such information to third parties if deemed necessary to:
(i) protect the integrity of the Website;
(ii) protect the rights of REFRICENTRO;
(iii) comply with a court order;
(iv) comply with any legal process;
(v) enforce the rights and actions available to REFRICENTRO;
(vi) satisfy any request regarding the infringement of third-party rights.

5. General Prohibition
By accessing and using the Website, the User agrees NOT to:
(a) violate the laws, regulations, and rules applicable at the local, state, provincial, national, and any other applicable legislation, such as laws against labor discrimination or laws for equal employment opportunities, when applicable;
(b) infringe intellectual property and privacy rights, including, among others, copyright rights, database rights, trademarks, or know-how of third parties;
(c) download, send, transmit, or store material that:
• is illegal, offensive, defamatory, fraudulent, misleading, harmful, threatening, hostile, obscene, or objectionable;
• infringes User's contractual or confidentiality obligations;
• harms or interferes with the normal operation of the Website, such as sending or transmitting viruses, worms, or trojans, continuous sending of repeated material, or sending unusually large files; or
• is not permitted by REFRICENTRO, such as unauthorized advertising material, unsolicited promotional material, "spam," "chain letters," pyramid direct sales messages, franchises, distribution material, club association, sales contracts, or any other unacceptable material;
(d) violate the personal rights and privacy of third parties by abusing the Content, such as continuously harassing or bothering such individuals by sending unsolicited emails, or collecting personal information;
(e) violate, or attempt to violate, the security measures of the Website;
(f) use any device, procedure, or mechanism such as spiders and tracking robots, to locate, retrieve, search, or access the Website or the Content, without the prior written consent of REFRICENTRO;
(g) access or attempt to access the account or login of third parties or companies indicated on the Website;
(h) copy, modify, reproduce, delete, distribute, download, store, transmit, sell, resell, publish, reverse engineer, or create derivative products from the Content, except with regard to material submitted by the User and owned by them, or if permitted by applicable intellectual property laws;
(i) send or provide incorrect, false, or incomplete information, regarding the curriculum vitae, biographical data, start date of employment, or User's company profile;
(j) impersonate another person or company;
(k) use the Website without authorization or for any criminal activity;
(l) falsify email header information; or
(m) falsify data about oneself, one's association with third parties, or one's company.

6. Use of the Site and Specific Obligations.
In addition to the general obligations outlined in Article 5, the User shall:
(a) use the Website only for legally permitted purposes.
(b) provide and maintain the personal data that make up the User Information in a complete, correct, up-to-date, and truthful manner;
(c) only send material for which the User has the corresponding rights or license to do so;
(d) use their own judgment, caution, and common sense when managing the information obtained through the Website; and
(e) assume the risk of relying on content, or using information, provided by third parties.

7. Account and Password.
When the User uses the Website, they may choose to open an account on the Site. In that case, the User will receive the virtual account number and the initial password corresponding to them. It is the sole responsibility of the User to:
(a) maintain the confidentiality of said virtual account and password;
(b) update and check their password frequently; and
(c) immediately notify REFRICENTRO, if they become aware of unauthorized use of their account or any breach of security measures.

8. Links to Third-Party Websites.
The Website may have links, such as hyperlinks or links, indicating access to third-party websites (the "Related Sites"). Although REFRICENTRO reviews third-party material and only allows the inclusion of Related Sites that, to the best of its knowledge, do not infringe applicable law, REFRICENTRO cannot control or monitor Related Sites and, consequently, will not assume any responsibility for the accuracy, security, or reliability of the material, information, or content included in such Related Sites.
The inclusion of Related Sites on the Website does not imply any relationship or association between REFRICENTRO and the owner of the Related Sites, nor approval or endorsement by REFRICENTRO of such Related Sites. 9. Privacy.
REFRICENTRO will process all personal information that the User enters or provides through our Website in accordance with the Website Privacy Policy and the terms and conditions related thereto in this contract.

10. Indemnification.
The User agrees to indemnify, defend, and hold harmless REFRICENTRO, its parent company, and its subsidiary and affiliated companies, as well as the directors, officers, agents, salespeople, and employees of all of them, against third-party claims (the indemnification includes, among others, the fees of intervening lawyers and court costs) brought on the basis of, or arising from, the User's access to the Website and their use thereof, the Information provided by the User, or the User's breach of the terms and conditions of this contract.

11. Disclaimer.
THE USER ACKNOWLEDGES AND AGREES THAT:
(A) THE USER ASSUMES ALL RISKS RELATING TO, OR ARISING FROM, THEIR USE, CONSULTATION, OR ACCESS TO THE WEBSITE. THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY WHATSOEVER;
(B) WITHIN LEGAL LIMITS, REFRICENTRO EXPRESSLY AND HEREBY DISCLAIMS ALL WARRANTIES OR LIABILITY, EXPRESS OR IMPLIED, LEGAL OR OTHERWISE, INCLUDING, AMONG OTHERS: IMPLIED WARRANTIES OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE CUSTOMARY IN THE COMMERCIAL PRACTICE OR IN NEGOTIATIONS IN THIS SECTOR; AND
(C) ALTHOUGH REFRICENTRO HAS ANTIVIRUS SYSTEMS AND ADOPTS SECURITY MEASURES TO PROTECT THE WEBSITE AND ITS CONTENT FROM ALL TYPES OF CYBER ATTACKS IN ORDER TO REDUCE THE LEVEL OF RISK, REFRICENTRO EXPRESSLY DISCLAIMS ALL WARRANTIES REGARDING: (I) THAT THE WEBSITE AND ITS CONTENT WILL ALWAYS BE FREE FROM ERRORS OR VIRUSES OR WILL NEVER SUFFER ATTACKS FROM THIRD PARTIES; (II) THE UNINTERRUPTED AND ALWAYS SECURE OPERATION OF THE WEBSITE; (III) THE PERMANENT AVAILABILITY OF THE SITE; (IV) WHETHER THE WEBSITE MEETS THE USER'S NEEDS OR NOT; AND (V) THE RELIABILITY, ACCURACY, INTEGRITY, VALIDITY, OR TRUTHFULNESS OF THE INFORMATION PROVIDED BY THE USER.

12. Liability and Limitation of Liability.
THE USER AGREES TO ASSUME ALL RISKS ASSOCIATED WITH, OR ARISING FROM, THE USE OF THE WEBSITE OR THE INFORMATION PROVIDED BY THE USER, INCLUDING, AMONG OTHERS, THE RISKS OF ECONOMIC LOSSES, PROPERTY DAMAGE, AND EXPENSES IN NEGOTIATING WITH OTHER USERS OF THE WEBSITE (WHETHER UNKNOWN, MINORS, FOREIGNERS, OR PERSONS ACTING UNDER FALSE IDENTITY). THE USER ALSO UNDERTAKES TO HOLD REFRICENTRO, ITS PARENT COMPANY, AND ITS SUBSIDIARY AND AFFILIATED COMPANIES, AS WELL AS THE DIRECTORS, OFFICERS, AGENTS, SALESPEOPLE, AND EMPLOYEES OF ALL OF THEM, HARMLESS FROM ALL LIABILITY FOR CLAIMS, DEMANDS, OR CLAIMS FOR DAMAGES (DIRECT, INDIRECT, AND CONSEQUENTIAL) OF ANY KIND, KNOWN OR UNKNOWN, THAT MAY BE MADE ON THE BASIS OF, OR ARISING FROM, THE USE OF THE WEBSITE, THE INFORMATION PROVIDED BY THE USER, OR THE TRANSACTIONS RESULTING FROM THE USER'S USE OF THE WEBSITE.
ALWAYS WITHIN LEGAL LIMITS, THE USER AGREES AND ACCEPTS THAT IN NO EVENT SHALL REFRICENTRO OR ITS PARENT COMPANY, SUBSIDIARY AND AFFILIATED COMPANIES, NOR THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR SUPPLIERS, BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL LOSSES OR DAMAGES (INCLUDING, AMONG OTHERS, PROPERTY DAMAGE AND PURELY ECONOMIC DAMAGES), NOR FOR LOSS OF PROFIT, LOSS OF CUSTOMER PORTFOLIO, LOSS OF INCOME, OR LOSS OF DATA OR INTERRUPTION OF USE, REGARDLESS OF THE CAUSE THEREOF - BREACH OF CONTRACT, TORT LIABILITY (INCLUDING NEGLIGENCE), OR BREACH OF WARRANTY-, EVEN IF REFRICENTRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OCCURRING. IF THE EXCLUSION OF CERTAIN WARRANTIES, THE LIMITATION OF LIABILITY, OR THE DISCLAIMER OF LIABILITY FOR CERTAIN DAMAGES IS PROHIBITED IN ANY JURISDICTION.
IN ANY CASE, THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO CONSUMERS NOR TO DAMAGES CAUSED INTENTIONALLY OR THROUGH GROSS NEGLIGENCE.

13. Termination.
REFRICENTRO may, at its sole discretion, terminate the services offered on its Website and remove any Content therefrom. REFRICENTRO may also, at any time, for any justified or unjustified reason and without having to notify in advance its decision, suspend the User's access to any or all of the services offered on the Website. If the User decides to cancel their account, they must stop accessing, and no longer use, the Website. REFRICENTRO shall have no obligation to maintain or return the Information provided by the User, their account, their virtual account number, or their password. The User must always have a copy of the Information they provided.

14. General.
The User declares that there is no employment relationship, association, agency, or joint venture between them and REFRICENTRO, arising from access to and use of the Website.
This Agreement encompasses all agreements reached between the User and REFRICENTRO regarding access to and use of the Website, and is subscribed in addition to any binding agreement that may exist between the User and REFRICENTRO.
This Agreement shall be governed and construed in accordance with the laws of the Dominican Republic, and the User submits to the exclusive jurisdiction of the courts.
If the User accesses, consults, sends information, or downloads material from the Website from outside the Dominican Republic, the User shall be solely responsible for their actions and assume all risks. The User may not use or export the Content of the Website or make any copy or adaptation that violates applicable laws, regulations, or rules, including the export laws and regulations of the Dominican Republic.
The fact that one party does not exercise or delays in exercising the rights and actions available to them under this Agreement at any given time shall not be construed as a waiver thereof.
The invalidity or unenforceability of any of these terms and conditions - in whole or in part - or of the rights derived from this Agreement shall not affect the validity or enforceability of the other rights, terms, and conditions, or the remaining provision in question, which shall remain in full force and effect, only the flawed clause (or the part that is invalidated in said clause) being excluded.
